Takeovers and Delisting - September 2025

In the stock markets, two important corporate events that directly impact shareholders are takeovers and delisting. Knowing how they work can help investors make informed decisions.

Takeovers:

A takeover occurs when one company acquires control of another through stake purchase or open offer. It can be friendly or hostile, depending on management consent.

For shareholders, takeovers may bring opportunities such as premium pricing for their shares but also risks if the acquiring company’s strategy doesn’t align well with the target.

Delisting:

Delisting is the permanent removal of a company’s shares from the stock exchange. It can be voluntary or regulatory, and investors usually receive a buyback offer for fair exit.

For shareholders, voluntary delisting usually involves a buyback offer at a price determined through reverse book-building, ensuring fair exit value.

Both takeovers and delisting significantly affect liquidity, valuation, and investor sentiment. While they may provide exit opportunities at attractive prices, they also mean reduced flexibility in trading. Investors are advised to carefully assess public announcements, offer documents, and valuation reports before making any decision.
