Pursuant to Regulation 33(3) of SEBI (LODR), we are hereby enclosing audited financial results for the financial year ending March 31, 2025. Recommendation of final dividend of Rs.21.50 per share 215% on Equity Shares of face value of Rs. 10/- each fully paid up for the financial year ended March 31, 2025, subject to shareholders' approval at the ensuing Annual General Meeting.

Board of Directors of the Company, at its meeting held on August I 2, 2025, has inter alia considered and approved the following matters: Declaration oflnterim Dividend: In accordance with Regulation 30 read with Schedule III Pait A of the SEBI (LODR) Regulations, 2015, the Board declared an interim dividend of 1000% (i.e., Rs.100/- per equity share of Rs.10/- each) for the Financial Year 2025-26. The interim dividend will be paid to all eligible shareholders whose names appear in the Register of Members as on the Record Date, i.e., Thursday, August 21, 2025. The dividend shall be disbursed on or before September 11, 2025.

Declaration of interim (special) dividend@! 00% i.e., Rs. 10/- per equity share, having a nominal value of Rs. 10/- for the Financial Year 2024-25. The interim (special) dividend shall be paid to all eligible shareholders on March 10, 2025, whose name appears in the Register of Members as on the Record date i.e., Tuesday, February 18, 2025.

This is to inform you that the Board Meeting held on May 12, 2023 have inter-alia considered and approved the Audited Financial Statements of the Company for the Financial Year ended March 31, 2023. The Meeting commenced at 07:10 PM and concluded at 08:14 PM. Pursuant to Regulation 33(3) of SEBI(LODR), we are hereby enclosing the following for your information and record: Audited Financial Results along with the Audit Report of the Company for the Financial Year ended March 31, 2023. Declaration for unmodified opinion in terms of Regulation 33(3) (d) of SEBI(LODR) Pursuant to Regulation 30 read with and Schedule III Part A of SEBI(LODR), we further wish to inform you that: The Board of Directors at the aforesaid Meeting has recommended a Dividend of Rs. 16.50 per equity share of the Company for the Financial Year ended March 31, 2023. The said Dividend shall be paid to the shareholders on September 05, 2023. Pursuant to Regulation 42 of LODR, the Register of Members and Share Transfer Books of the Company will remain closed from Friday, August 04, 2023 to Thursday, August 10, 2023 (both days inclusive) for the purpose of 38th AGM of the Company and for determining the eligibility of shareholders for payment of dividend of Rs. 16.50 per equity share of Rs.10 each. The said dividend, if declared at 38th AGM will be paid: i. In respect of shares held in physical form to those Members whose names appear in the Register of Members of the Company on August 04, 2023 after giving effect to all valid transfers lodged with the Company on or before August 03, 2023. ii. In respect of shares held in electronic form to those Beneficial Owners whose names appear in the statement of beneficial ownership furnished by NSDL and CDSL as at the end of business hours on August 03, 2023. You are further informed that dividend payout for equity shares of the Company is September 05, 2023. (As Per BSE Announcement Dated on 17/05/2023) With reference to our intimation letter dated May 17, 2023, bearing no. HIPP/SE/2023-24/23, whereby the Company informed the exchange about the Record date/ Book closure and Dividend payout date, we humbly submit that the record date for the purpose of determining the eligibility of shareholders for payment of dividend, to be considered as August 03, 2023, which was inadvertently mentioned as August 04, 2023. In view of the above rectification, the said dividend, if declared at the 38th AGM will be paid: In respect of shares held in physical form, to those Members whose names appear in the Register of Members of the Company on August 03, 2023 after giving effect to all valid transfers lodged with the Company on or before August 03, 2023.
